Trying to Upgrade processor on HP XT963

My HP has 1.2GHz Intel Celeron and bought a 1.4GHz Pentium III, the problem is that when I install the new processor the computer wont boot up. The Pentium III is a PGA2 with an integrated heatsink, but my only guess is that it wont fit the 370PGA socket, right? I have a Trigem Poleon motherboard...
